These Terms & conditions (“Terms”) govern your access to and use of Mindeze software, websites, and related services (the “Services”). By downloading, installing, accessing, or using the Services, you agree to these Terms and our Privacy policy. If you do not agree, do not use the Services.
Eligibility
You must be able to form a binding contract under applicable law to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
The Services
Mindeze provides tools for families, particularly adult children and parents, to coordinate tasks, reminders, and related updates. Features may vary by platform and subscription tier. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable.
Accounts and security
You are responsible for safeguarding your account credentials and for activity under your account. Notify us promptly at webcontact@mindeze.com if you suspect unauthorized access.
To request deletion of your account and associated personal information, follow the steps in our Privacy policy (Account deletion).
Subscriptions, billing, renewals, and refunds
Optional Mindeze Premium features are offered through auto-renewing in-app subscriptions processed by Apple App Store or Google Play.
- Plans. Monthly (one calendar month) and Annual (one calendar year). Price per term is shown in the App Store or Google Play listing at checkout for your country and currency. Indicative US pricing: USD $10 per month and USD $100 per year.
- Payment. Charges are billed to your Apple ID or Google Play account at confirmation of purchase.
- Auto-renewal. Subscriptions renew automatically for the same term at the then-current price unless cancelled at least 24 hours before the end of the current period. The platform charges your account within 24 hours of the end of the current period.
- Managing or cancelling. You can manage or cancel renewal at any time in your Apple ID or Google Play subscription settings. Cancelling stops future renewals; the current term continues until its end date.
- Refunds. Refund requests are handled by the platform under its own terms (Apple, Google Play). Mindeze does not separately bill or refund subscription payments.
- Entitlement. When you subscribe, we receive a transaction identifier and subscription status from the platform so we can unlock Premium features in the Services. Deleting your Mindeze account does not cancel an active subscription; cancel renewal in the platform store to stop future charges.
Acceptable use
You agree not to misuse the Services. Without limitation, you must not: violate law or third-party rights; attempt to gain unauthorized access to the Services, other accounts, or our systems; interfere with or disrupt the Services; transmit malware; scrape or automate access in a way that burdens our infrastructure; or use the Services to send unlawful, harassing, or harmful content.
User content
You retain ownership of content you submit. You grant Mindeze a worldwide, non-exclusive license to host, process, transmit, and display your content solely as needed to operate and improve the Services for you and linked family members you authorize. You represent that you have the rights necessary to grant this license.
Intellectual property
The Services, including software, branding, documentation, and visual assets, are owned by Mindeze or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services according to these Terms, no rights are granted to you.
Disclaimer
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Mindeze disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Services are not a substitute for professional medical, legal, or emergency advice or care.
Limitation of liability
To the fullest extent permitted by law, Mindeze and its affiliates, officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunities, arising from or related to your use of the Services. Our aggregate liability for any claim arising out of these Terms or the Services will not exceed the greater of fifty U.S. dollars (USD $50) or the amounts you paid Mindeze directly for the Services in the twelve months before the claim (excluding amounts paid to app stores). Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the maximum permitted by law.
Indemnity
You will defend and indemnify Mindeze against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services in violation of these Terms, or your violation of law or third-party rights.
Termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms or if we must do so to comply with law or protect the Services. Provisions that by their nature should survive will survive termination.
Governing law
These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-law principles, except where prohibited by applicable consumer protection rules in your jurisdiction. Courts located in California will have exclusive jurisdiction for disputes, unless applicable law requires otherwise.
Changes
We may update these Terms from time to time. We will post the updated Terms on this page and revise the effective date. Continued use after changes become effective constitutes acceptance of the revised Terms.
